These Terms of Service govern your access to https://clipnexa.site and your purchase or use of creative services provided under the Clip Nexa Studio brand by Clip Nexa Studio Inc., a Washington corporation. By accessing our website, approving a quote, or engaging us for a project, you agree to these terms.

Acceptance

You must be at least 18 years old and legally able to enter into a binding agreement to use our services. If you act for a company or other organization, you represent that you have authority to bind that organization. A written quote, statement of work, or other project agreement may include additional terms. If those terms conflict with these Terms of Service, the project-specific agreement controls for that project.

Services

Clip Nexa Studio provides digital creative and production services, which may include video editing, motion graphics, short-form content, design, post-production, and related deliverables. The scope, format, schedule, revision process, and delivery method for each engagement will be described in the applicable quote or written agreement. We may use qualified contractors or service providers to assist with production while remaining responsible for our obligations.

Quotes & Payment

Quotes are based on the information available when issued and remain subject to the stated scope and validity period. Work outside the approved scope, including additional revisions or changed requirements, may require a revised quote. Payment schedules, accepted methods, deposits, and due dates will be stated in writing. Unless disputed in good faith, invoices must be paid when due. We may pause work or withhold final deliverables while an account is overdue.

Client Materials & Usage Rights

You are responsible for providing accurate instructions and timely access to necessary files. You represent that you own or have sufficient permission to use all footage, images, music, trademarks, scripts, and other materials supplied to us. You grant Clip Nexa Studio a limited license to copy, edit, adapt, and process those materials solely to perform the agreed services. You remain responsible for obtaining releases, licenses, and approvals required for your intended publication or distribution.

Intellectual Property

Upon full payment, you receive the ownership or usage rights expressly identified in the applicable project agreement. Clip Nexa Studio retains ownership of pre-existing tools, templates, production methods, know-how, and reusable components. Third-party assets remain subject to their separate license terms. Unless otherwise agreed in writing, working files, unused concepts, drafts, and internal production materials are not included in final delivery.

Acceptable Use

You may not use our website or services to violate law, infringe intellectual property or privacy rights, distribute malware, impersonate others, facilitate fraud, or create unlawful, threatening, or deceptive content. You may not interfere with site security, scrape the website through automated means, or attempt unauthorized access to systems or accounts. We may decline or discontinue work that reasonably appears to violate these requirements.

Disclaimers

Services and the website are provided on an “as is” and “as available” basis to the extent permitted by law. Creative outcomes depend on project scope, client input, source-material quality, platform requirements, and timely approvals. We do not warrant uninterrupted website availability, compatibility with every device or platform, or that third-party platforms will accept, display, or retain any deliverable.

Limitation of Liability

To the fullest extent permitted by law, Clip Nexa Studio Inc. will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of data, goodwill, or business opportunities arising from the website or services. Our aggregate liability relating to a claim will not exceed the amount paid to us for the specific service giving rise to that claim. These limitations do not apply where liability cannot lawfully be limited.

Governing Law

These terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Any legal proceeding arising from these terms or our services must be brought in the state or federal courts located in San Diego County, California, and each party consents to their jurisdiction and venue.

Changes

We may update these terms to reflect changes in our services, operations, or legal obligations. The revised version will be posted on this page with a new “Last updated” date. Changes apply prospectively unless applicable law requires otherwise. Continued use of the website or services after an update constitutes acceptance of the revised terms.
